1. Acceptance
By creating an account or using any Threvix service — including the platform, AI Scribe, clinical chat, differential diagnosis suggestions, imaging analysis and related features (the "Services") — you agree to these Terms. If you do not agree, do not use the Services. These Terms are a binding agreement between you and Threvix Technologies Inc., a Quebec corporation based in Montreal ("Threvix", "we"). You confirm that you are a licensed healthcare professional in good standing and have authority to accept these Terms.2. Definitions
"User Data" means clinical and patient information — including patient health information, notes, audio, medical images, prompts and files — that you submit or that is generated for you through the Services. It does not include de-identified service telemetry. "Outputs" means content generated by the Services, including transcripts, draft notes, differential suggestions, imaging analyses and reference information. Outputs are machine-generated and are not reviewed by a person at Threvix before delivery. "Service Providers" means third parties engaged by Threvix to help host, process, secure, support or deliver the Services. "Subscription Plan" means the plan, trial or order you selected.3. What the Services are, and are not
Threvix is a technology company, not a healthcare provider. The Services are software tools that assist licensed professionals with documentation and decision support. They do not practise medicine, do not create a clinician-patient relationship, and do not replace professional judgment. Every Output is a draft. It may be incomplete, inaccurate, outdated or clinically inappropriate. You must review, verify, edit as needed and approve every Output before relying on it, sharing it with a patient or entering it in a record. This obligation cannot be delegated and applies regardless of any statement about accuracy or performance. The Services are not for emergencies, real-time monitoring, or situations where a delay or error could put life or safety at immediate risk. No feature may be used for a regulated medical-device purpose unless Threvix has expressly made it available for that purpose and you are permitted to use it that way in your jurisdiction. The Services are intended for licensed healthcare professionals only, not for patients or the public.4. Your responsibilities and restrictions
Your account is for your individual use. One licensed professional per account unless your Subscription Plan expressly provides otherwise; credentials may not be shared. You are responsible for keeping your credentials secure, for the security of any device you use with the Services, and for activity under your account, except where caused by Threvix's breach, and you will notify Threvix promptly of any suspected unauthorized use. You are responsible for: (a) complying with the laws, professional standards and institutional policies that govern your practice, including applicable privacy and health-information legislation; (b) having all authority, notices and consents required before recording an encounter or submitting patient information, and documenting consent where required; (c) submitting only the information reasonably necessary for the purpose; and (d) all clinical decisions, record content, treatment and patient outcomes, whether or not informed by an Output. You will not, and will not allow anyone else to: use the Services unlawfully; reverse-engineer, decompile or otherwise attempt to derive the software, models or source code behind the Services; access the Services with bots, scrapers or other automated means, or harvest or mine data from them; use the Services, or knowledge gained from them, to build or improve a competing product; copy the features, functions or interface of the Services; share, resell, sublicense or provide third-party access to the Services; circumvent security or usage controls; upload malicious content or disrupt the platform; use an Output without the required review; or represent an Output as verified by Threvix. Threvix may review usage of the Services to verify compliance with these Terms.5. Free trial
Threvix may give you free access to the Services for an evaluation period it sets. During a free trial the Services are provided as-is, with no warranty, support commitment or indemnity, and Threvix may end or modify trial access at any time. Sections 3, 4 and 8 apply in full during any trial.6. Plans, fees and payment
Plans, features, limits, trials and fees are described at checkout or in an order form; a signed order form governs if there is a conflict. Subscriptions are billed in advance, monthly or annually, and renew automatically until cancelled; cancellation takes effect at the end of the paid period. Fees are non-refundable except as stated in these Terms or an order form, required by law, or agreed in writing, and exclude GST, QST and HST. Threvix may change pricing or plans on at least 30 days' notice, effective at your next renewal. Payments may be processed by Service Providers under their own terms.7. Availability, support and maintenance
Threvix will use reasonable efforts to keep the Services available and to help you resolve technical problems by email or through the application, but does not guarantee that every problem can be solved. Threvix performs maintenance that may cause temporary outages, including emergency maintenance without notice. Threvix may temporarily suspend access where reasonably necessary to address a security threat, a risk to the Services or other users, a legal or regulatory requirement, or suspected misuse. Threvix will notify you where practicable and restore access once the issue is resolved, and is not liable for losses resulting from a suspension made in good faith.8. Privacy and data
8.1 Roles. You determine the clinical purposes for which User Data is submitted. Threvix processes User Data as necessary to provide, secure, support and maintain the Services, follow your instructions and comply with applicable law. 8.2 Data location. User Data stored by Threvix is hosted in Canada. Certain processing may occur outside Quebec or Canada where necessary to provide the Services. Where applicable, Threvix implements the assessments and safeguards required by law. 8.3 Service providers. Threvix may use Service Providers as reasonably necessary to provide, operate, secure and support the Services. Service Providers handling personal information are subject to appropriate privacy, confidentiality and security obligations. 8.4 Security. Threvix maintains administrative, physical and technical safeguards appropriate to the sensitivity of User Data. 8.5 Ownership. You retain all rights in your User Data. You grant Threvix a limited licence to process it only as necessary to provide, secure, support and maintain the Services, follow your instructions and comply with law. 8.6 Retention. User Data is retained according to your settings and for as long as reasonably necessary to provide the Services and meet applicable legal, security and contractual requirements. Following termination, User Data is deleted in accordance with the Privacy Policy, subject to legally required retention. Audio submitted for transcription is not retained as a recording after processing. 8.7 Restrictions on use. Neither Threvix nor its Service Providers will sell User Data, use it for advertising, or use it to train AI models. 8.8 Confidentiality incidents. Threvix maintains procedures for responding to confidentiality and security incidents and will provide notifications where required by law or contract. 8.10 Privacy Policy and DPA. The Privacy Policy and any applicable data-processing agreement form part of the privacy framework governing the Services. Where a data-processing agreement conflicts with these Terms regarding the processing of User Data, the data-processing agreement controls.9. Confidentiality
"Confidential Information" means non-public information one party discloses to the other that is marked confidential or would reasonably be understood to be confidential. Your User Data is your Confidential Information. The Services, their design and operation, and any technical or security documentation Threvix provides on request are Threvix's Confidential Information, whether or not marked. Each party will use the other's Confidential Information only to exercise its rights and perform its obligations under these Terms, will not disclose it to anyone except employees, professional advisers and contractors who need to know it and are bound by comparable obligations, and will protect it with at least reasonable care. These obligations do not apply to information that is or becomes public through no fault of the recipient, was already lawfully known to the recipient, or is independently developed. A party may disclose Confidential Information where required by law, giving the other party notice where lawful and practicable. These obligations survive for five years after termination, and indefinitely for User Data.10. Intellectual property and feedback
The Services, including software, interfaces, models, documentation and underlying technology, remain the property of Threvix or its licensors. You receive only the limited, non-transferable right to use the Services under these Terms, and you may not remove any proprietary notices. If you give Threvix suggestions or feedback about the Services, Threvix may use them for any purpose without obligation to you. Feedback does not include User Data.11. Warranties and liability
11.1 Warranties. To the extent permitted by law, the Services are provided "as is" and "as available." Threvix does not warrant that the Services will be uninterrupted or error-free, or that Outputs will be complete, accurate, current, or appropriate for any patient or clinical situation. 11.2 Limitation of liability. To the extent permitted by law, Threvix and its affiliates, officers, employees, licensors, and Service Providers will not be liable for indirect, consequential, special, incidental, or punitive damages, or for loss of profits, revenue, data, or goodwill. Threvix's total cumulative liability arising out of or relating to the Services or these Terms will not exceed the fees paid or payable by you to Threvix during the twelve months preceding the event giving rise to the claim. 11.3 Clinical decisions. Threvix is not responsible for any clinical decision, record entry, treatment, diagnosis, or patient outcome to the extent it results from reliance on an Output without the review required by these Terms. 11.4 Mandatory-law exceptions. Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law, including liability for intentional or gross fault or for bodily or moral injury where applicable Quebec law prohibits such limitation.12. Indemnification
To the extent permitted by law, you will indemnify Threvix and the parties listed in 11.2 against third-party claims and reasonable costs arising from your unlawful submission or use of User Data, failure to obtain required consent or authority, use of an Output without required review, breach of these Terms, or violation of law or professional obligations — except to the extent caused by Threvix's breach, gross fault, intentional fault or violation of law.13. Term and termination
These Terms apply from your first use until terminated. You may cancel your subscription at any time through account settings or by contacting Threvix; cancellation takes effect at the end of the current paid period. Either party may terminate for a material breach that remains uncured 30 days after written notice. If you terminate because of Threvix's uncured material breach, Threvix will refund the prepaid fees for the unused portion of your subscription. Threvix may also suspend or terminate access immediately where reasonably necessary for security, legal compliance, non-payment, patient-safety concerns or protection of the Services or third parties. On termination your access ends, subject to any export period Threvix makes available; retention and deletion are governed by section 8.6. Provisions that by their nature should survive — including intellectual property, confidentiality, liability, indemnification, payment, disputes and data protection — survive.14. Governing law
These Terms are governed by the laws of Quebec and the applicable federal laws of Canada. Subject to mandatory law, disputes will be brought before the courts of the judicial district of Montreal, and claims are brought individually where the law permits. Nothing in these Terms limits rights that cannot lawfully be waived or shortens limitation periods that cannot lawfully be shortened.15. Changes
Threvix may update these Terms. Material changes will be communicated through the Services or by email before they take effect; changes that materially reduce your rights during a prepaid period ordinarily take effect at renewal unless law, security or regulatory necessity requires otherwise. Continued use after the effective date is acceptance.16. General
These Terms, the Privacy Policy, any data-processing agreement and any order form are the entire agreement. If a provision is invalid it is limited to the minimum extent necessary and the rest remains in force. Failure to enforce is not a waiver. Neither party will use the other's name or logo publicly without written consent. You may not assign these Terms without written consent; Threvix may assign them in a merger, financing, reorganization or sale, subject to privacy law and contractual obligations. Neither party is liable for delays caused by events beyond its reasonable control, except payment obligations. The parties are independent contractors. Threvix is not responsible for independent third-party services except where it remains accountable for a provider's processing of User Data on its behalf. Legal notices: contact@threvix.com.17.
